By engaging the services of East and Clark Photography, LLC (hereafter referred to as “E&C”), you certify that you have read and agree to the following Terms and Conditions.

For the purpose of these Terms and Conditions, "Client" refers to any individual, real estate agent, broker, or representative of a brokerage who has booked a service with East and Clark Photography. "Photographer" refers to any individual or entity representing East and Clark Photography who is engaged in capturing and processing photos for the Client.

1. Retention of Property Data

E&C no longer provides Matterport hosting. All Matterport scans will be transferred directly to the Client’s Matterport account at the time of processing. It is the Client’s responsibility to ensure their account has available space for the model. Large models (over 200 scan points) count as two spaces.

E&C does not guarantee retention of Matterport scans after transfer. For HDR photography and other deliverables, E&C may archive copies for up to six months from the date of capture unless otherwise agreed. After six months, E&C reserves the right to permanently delete files.

2. Rescheduling, Changes, and Weather Conditions

Clients may change or cancel appointments without penalty if made at least twenty-four (24) hours before the scheduled time. Changes or cancellations within 24 hours, unless due to weather, will result in a fee.

Adjustments to the scope of a shoot, such as adding or modifying features, may require rescheduling and will be subject to additional fees.

Clients should consider weather conditions when booking. Exteriors cannot be completed during active rain or misting. If the Client requests interiors to be completed on a rainy day and exteriors to be completed on a separate day, this will require booking a separate full-price shoot. It is the Client’s responsibility to reschedule promptly if weather conditions prevent exteriors from being completed as planned.

3. Property Readiness

Clients acknowledge that properties must be prepared and accessible before the appointment, as properties will be photographed or scanned “as is.” E&C does not provide staging services, move personal items, or assist with property preparation. Failure to have the property ready may result in rescheduling fees, delays, or incomplete coverage.

4. Appointment Scheduling Accuracy

Clients are responsible for accurately entering property information when booking. Errors or omissions may affect billing and the scope of services.

Detached buildings (barns, workshops, sheds, guest homes, etc.) must be included in the total square footage and noted in the appointment questionnaire if they require interior photography. Community features (clubhouses, gyms, pools, etc.) are not included unless requested in advance and may require an additional fee.

5. Payment Terms

Payment is due within 30 days of the invoice date. Late payments may result in suspension of access to deliverables and inability to book future appointments until balances are paid. An invoice with a 35% late fee will be sent to the booking agent’s brokerage firm after 60 days.

6. Travel Fees

Properties located more than 35 miles from S Public Square, Murfreesboro, are subject to a $40 long-distance travel fee. This fee is based on the property address, not estimated drive time, and will be added to the Client’s invoice.

For properties requiring extended travel (generally more than 90 minutes each way or outside Middle Tennessee), additional travel charges will apply. These fees will be quoted in advance based on distance and time requirements.

7. Liability and Insurance

While E&C takes precautions to ensure the safety of your property and our equipment, we maintain insurance coverage to protect against potential damages or accidents. Clients are encouraged to maintain their own insurance coverage for additional protection.

8. Image or Scan Delivery

Completed images, scans, and floor plans will be delivered within 48 hours via digital download. Expedited delivery options are available for additional fees.

9. Editing and Post-Processing

E&C offers two types of photography services:

a. HDR Photography (Professional and Edited): Professional HDR images are edited for quality and appeal. This service includes full post-processing. Detached buildings requiring interiors must be included in the total square footage when booking.

b. Free Photography (Captured from Matterport Scan): Still images may be captured from a Matterport scan at no additional cost. These images are unedited and may not meet the quality of HDR photography.

Please note: Matterport scans of homes do not include separate external buildings such as barns, detached garages, or workshops. If interior images of these structures are required, HDR photography must be requested and the square footage included at booking.

10. Rights and Usage

E&C retains copyright ownership of all images produced. The Client is granted a non-exclusive, non-transferable license to use the images for marketing the property and self-promotion. The license extends to the Client’s parent company for the sole purpose of marketing the specific property photographed.

Any third-party use is prohibited unless approved in writing and separately licensed.

11. Modifications

E&C reserves the right to modify these Terms and Conditions at any time without prior notice. Clients are responsible for reviewing periodically for updates.

Any waiver or modification of these Terms does not release the Client from adhering to the Terms as a whole.

The relationship between the Client and E&C will be governed by the laws of the State of Tennessee. Clients are encouraged to seek legal counsel or contact E&C with questions.
